The following Terms of Service and Privacy Policy are provided as a general template for CreatorBridge Global and should be reviewed and tailored by qualified legal counsel for your specific operations, product features, and data flows.

Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CreatorBridge Global (“CreatorBridge,” “we,” “us,” or “our”), including our websites, mobile applications, cloud dashboard, marketplace, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

1) Who We Are

CreatorBridge is a Canadian platform designed to help digital creators manage, protect, package, and commercialize their intellectual property (“IP”) and to help businesses discover and license creator IP under standardized terms.

2) Eligibility and Account Registration

You must be at least the age of majority in your jurisdiction (or at least 16 years old with appropriate authorization) to use the Services. You agree to provide accurate, current, and complete information when creating an account and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3) Definitions

  • Creator: a user who uploads, registers, or lists content or IP assets.
  • Business User / Buyer: a user who discovers, licenses, or purchases creator IP assets.
  • Creator Content: any content, materials, files, text, images, audio, video, metadata, brand elements, or other works provided by a Creator.
  • IP Asset: Creator Content packaged with defined rights, terms, and pricing for licensing or commercialization.

4) Creator Content, Ownership, and Licenses

Creators retain ownership. As between you and CreatorBridge, you (or your licensors) retain all right, title, and interest in and to your Creator Content and IP Assets, subject to the licenses granted in these Terms.

To operate the Services, you grant CreatorBridge a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce (for technical purposes), display, transmit, and distribute your Creator Content only as necessary to:

  • provide and improve the Services,
  • enable listings and discovery in the marketplace,
  • facilitate licensing transactions, reporting, and payouts,
  • enforce rights and compliance where required.

Marketplace licensing. If you list an IP Asset for licensing, you authorize CreatorBridge to present your asset, terms, and pricing to Business Users/Buyers and to facilitate transactions under the applicable license terms you set (including any standard templates you select). Any license granted to a Buyer is governed by the transaction terms presented at checkout (or the relevant licensing agreement). Existing licenses entered into before you remove an asset may continue for their contracted term where legally enforceable.

5) Your Responsibilities and Representations

You represent and warrant that:

  • you own or have obtained all necessary rights, permissions, and consents to upload, list, license, and monetize your Creator Content;
  • your Creator Content does not infringe IP rights, privacy rights, publicity rights, or other rights of any third party;
  • your Creator Content and your use of the Services comply with all applicable laws and regulations (including advertising disclosure rules, consumer protection laws, and applicable industry standards).

If your content includes other individuals (e.g., collaborations, interviews), you are responsible for ensuring you have the necessary releases and permissions.

6) Prohibited Use

You agree not to:

  • upload or list content that is unlawful, defamatory, deceptive, infringing, or violates third-party rights;
  • attempt to circumvent licensing terms, payments, or tracking;
  • scrape, reverse engineer, disrupt, or harm the Services;
  • use the Services to send unauthorized marketing messages or spam.

We may remove content, suspend accounts, or terminate access when we reasonably believe these Terms are violated.

7) Fees, Payments, and Taxes

CreatorBridge may charge fees (e.g., platform fees, commissions, subscription fees for Business Users, payment processing fees) as described on the Services or in a transaction summary at the time of purchase/licensing.

Creators are responsible for:

  • ensuring payout details are accurate,
  • any applicable taxes on their earnings,
  • providing any required tax documentation.

Payments may be processed by third-party payment providers. Payout timing may depend on verification, fraud controls, and transaction completion status.

8) Disputes Between Users

CreatorBridge may provide tools to facilitate communication and resolution, but CreatorBridge is not a party to agreements between Creators and Buyers unless explicitly stated. You agree to cooperate in good faith to resolve disputes. We may suspend transactions or accounts where necessary to address fraud, rights claims, or compliance concerns.

9) IP Infringement and Takedown Requests

CreatorBridge respects intellectual property rights and expects users to do the same. If you believe content on the Services infringes your IP rights, you may submit a notice to: info@creatorbridgeglobal.com with:

  • identification of the work claimed to be infringed,
  • identification of the allegedly infringing material (URL or listing info),
  • your contact information,
  • a statement of good-faith belief and authority to act.

We may remove or restrict access to content where appropriate and may request additional information to process claims.

10) Privacy

Our collection and use of personal information is described in the Privacy Policy below, which forms part of these Terms.

11) Service Availability, Changes, and Beta Features

The Services may include beta, early access, or experimental features. We may modify, suspend, or discontinue any part of the Services at any time. We are not liable for changes that affect features, availability, or integrations.

12) Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, CreatorBridge disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CreatorBridge does not guarantee that the Services will be uninterrupted, secure, or error-free.

13) Limitation of Liability

To the maximum extent permitted by law, CreatorBridge will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, data, or goodwill. CreatorBridge’s total liability for any claim relating to the Services will not exceed the amounts paid to CreatorBridge (if any) by you in the 12 months preceding the event giving rise to the claim.

14) Indemnification

You agree to indemnify and hold harmless CreatorBridge from claims, liabilities, damages, and expenses arising out of your use of the Services, your Creator Content, your breach of these Terms, or your violation of any law or third-party rights.

15) Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or for security/compliance reasons. Certain provisions (including ownership, licenses granted prior to termination, disclaimers, limitation of liability, and indemnification) survive termination.

16) Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, unless otherwise required by applicable law.

Intellectual Property Protection and Compliance Notice

CreatorBridge is built to help creators retain ownership of their work while making it safer and easier to monetize. We do not claim ownership of Creator Content. CreatorBridge uses Creator Content only to provide the Services, enable listings and discovery, and facilitate licensing transactions under the terms selected by the creator.

To support trust and compliance:

  • We use standardized licensing terms and rights packaging to reduce ambiguity and help ensure content is used only as agreed.
  • We provide records of transactions and licensing history to support accountability between creators and buyers.
  • We maintain procedures to address IP infringement notices and respond appropriately under applicable Canadian laws and platform policies.
  • We aim to align our data handling practices with applicable Canadian privacy and anti-spam requirements, and we work with reputable service providers for secure processing and payments.
